Terms of Service

Last updated: October 23, 2026

These Terms of Service ("Terms") govern your use of jadeabacus.com (the "Site") and any digital product or service purchased through it. The Site is operated by Jade Abacus Software Limited (company name subject to final approval by the Hong Kong Companies Registry), registered office Room 18, 2/F, Tuspark, 118 Wai Yip Street, Kwun Tong, Kowloon, Hong Kong ("we", "us", "our"). By placing an order or using the Site, you agree to these Terms.

1. Two kinds of listings

The Site sells two distinct kinds of products, and these Terms apply differently to each:

  • Digital Products — pre-built files (templates, kits, icon sets, and similar assets) licensed to you on purchase, delivered by instant download.
  • Services — fixed-scope work we carry out for you, as described on the individual service's listing page.

2. Digital Products — license

When you purchase a Digital Product, we grant you a non-exclusive, non-transferable license to use the files for a single end product, as described on that product's listing page.

A "single end product" means one independently-branded website, app, or project — for example, licensing a landing-page kit for use on your own company's site is one end product; using the same license across two unrelated client websites is two. A separate license is required for each additional end product the files are used in. Unless a listing says otherwise:

  • You may use the files in your own personal or commercial projects.
  • You may not resell, sublicense, or redistribute the source files themselves, whether modified or not — including bundling them into your own product, template store, or marketplace listing.
  • You may not use automated tools to scrape or bulk-download the catalog.

3. Services — scope

Each service listing states what is included, what is not included, and the expected delivery timeline. Work begins once we have the information or access needed to start (as described on the listing, or as requested after purchase). Delivery follows the process described on the homepage: a written spec within 2 business days of purchase, weekly progress updates during the build, and a documented handoff at the end. Revision rounds, where included, are as stated on the specific listing — additional rounds or new requests outside the written spec are scoped and quoted separately.

4. Your account

Some purchases require a Site account to view order history and download links. You're responsible for keeping your login credentials confidential and for all activity under your account. We may suspend or close an account we reasonably believe is being used fraudulently or in breach of these Terms.

5. Orders & payment

Prices are shown in EUR at checkout, and the EUR amount charged is final. If your card or bank processes the transaction in a different currency, any currency conversion and related fees are applied by your card issuer or bank, not by us. Payment is processed by a third-party payment processor; we do not store your full card details. An order confirmation is sent to the email address you provide at checkout.

6. Refunds

Refund eligibility differs between Digital Products and Services and is set out in full in our Refund Policy.

7. Intellectual property

We retain ownership of all pre-existing intellectual property in our Digital Products; purchasing a listing grants you the license described in Section 2, not ownership of the underlying files. Ownership of custom deliverables produced under a Service engagement is as stated on that service's listing page.

8. Acceptable use

You agree not to:

  • Resell, sublicense, or redistribute licensed files outside the terms of your license — including as part of a competing template store or marketplace.
  • Use the Site or its products for any unlawful purpose.
  • Use automated means to access, scrape, or bulk-download the Site or catalog.

9. Limitation of liability

To the fullest extent permitted by law, our total liability arising from any order is limited to the amount paid for that order. We are not liable for indirect or consequential losses.

10. Force majeure

Neither party is liable for delay or failure to perform caused by events reasonably beyond its control, including extended outages of third-party infrastructure, natural disaster, war, or labor disputes. The affected party will notify the other and resume performance as soon as reasonably possible.

11. Resolving a disagreement

If something's wrong with an order, contact us first at hello@jadeabacus.com — most issues are resolved faster this way than through a formal dispute or chargeback. If a disagreement can't be resolved directly, it is subject to the exclusive jurisdiction of the courts of Hong Kong, as set out in Section 13.

12. Severability

If any provision of these Terms is found unenforceable, the remaining provisions stay in full effect.

13. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of the Site after a change constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of Hong Kong, and any dispute arising from them is subject to the exclusive jurisdiction of the courts of Hong Kong.
